Our Commitment
Prep Service Texas provides third-party fulfillment and logistics services, including receiving, preparation, storage, packing, labeling, shipping, and returns processing.
We are committed to handling client inventory professionally while maintaining clear product, shipping, and compliance responsibilities.
1. CLIENT PRODUCT RESPONSIBILITY
Clients are solely responsible for the ownership, legality, authenticity, safety, and compliance of all products provided to Prep Service Texas.
Clients must ensure that products are lawfully owned or authorized for sale and are not counterfeit, stolen, or infringing upon third-party intellectual property rights.
Clients are also responsible for required licenses, permits, certifications, product labeling, import requirements, and marketplace compliance.
2. PROHIBITED PRODUCTS
Clients may not provide illegal, counterfeit, stolen, hazardous, or unauthorized products.
Prep Service Texas may refuse, suspend, or terminate services involving products it reasonably believes may violate applicable laws.
3. SHIPPING LABELS & INVENTORY INFORMATION
Clients are responsible for providing accurate product information, quantities, SKUs, shipping labels, addresses, and fulfillment instructions.
Clients certify that shipping labels provided to Prep Service Texas are legal and obtained from an original source.
4. FRAUDULENT OR ABUSIVE PURCHASING ACTIVITY
Clients authorize Prep Service Texas to immediately dispose of products reasonably suspected of being obtained through fraudulent credit cards, promotional abuse, refund fraud, or other deceptive purchasing practices.
No prior notice is required when Prep Service Texas reasonably believes products may be connected to fraudulent or unlawful activity.
The client remains responsible for all related costs and liabilities.
5. FEES & PAYMENT
Clients are responsible for all agreed receiving, storage, fulfillment, shipping handling, and other applicable fees.
Invoices are due within 5 days. Services may be suspended for unpaid balances.
6. CLIENT RESPONSIBILITY & INDEMNIFICATION
Clients agree to defend, indemnify, and hold harmless Prep Service Texas, its owners, officers, employees, and agents from claims, losses, damages, penalties, and reasonable legal expenses arising from the client’s products, business operations, instructions, or violation of the agreement.
7. TERMINATION
Either party may terminate the fulfillment agreement with 5 days written notice.
Prep Service Texas may terminate services immediately for nonpayment, illegal products, fraud, or material breach.
8. CLIENT PRODUCT COMPLIANCE CERTIFICATION (CPCC)
By signing the Client Fulfillment Services Agreement, the client certifies that:
• Products are lawfully owned or authorized for sale.
• Products are genuine and authentic.
• Products are not counterfeit or stolen.
• Products do not knowingly infringe third-party intellectual property rights.
• Products comply with applicable laws, regulations, and marketplace requirements.
• The client accepts responsibility for product legality, authenticity, safety, and compliance.
• The client will immediately notify Prep Service Texas of any legal complaint, recall, investigation, or intellectual property issue involving its products.
IMPORTANT NOTICE
Prep Service Texas is a third-party fulfillment provider. We do not purchase, manufacture, import, advertise, sell, or own client products and do not independently verify the authenticity or legality of client products.
The signed Client Fulfillment Services Agreement and Client Product Compliance Certification (CPCC) remain the controlling documents governing the client relationship.
Governing Law: The Client Fulfillment Services Agreement provides that Texas law governs the agreement and that disputes are handled in the appropriate courts located in Harris County, Texas, unless otherwise agreed in writing.
